If you disagree with any part of these terms, you do not have permission to access the Services.

• Full-stack software development and consulting services
• SaaS platform development
• AI integration and automation solutions
• Video meeting and collaboration platforms
• CRM and business automation tools
• Technical consulting and architecture design

3. Use of Services

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any laws, regulations, or third-party rights
• Transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Use the Services for spam, phishing, or fraudulent activities
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Services without permission

Account Responsibilities

When you create an account with us, you must:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be responsible for all activities under your account

4. Intellectual Property Rights

5. AI-Generated Content

Our Services utilize artificial intelligence to generate content, responses, and insights. You acknowledge that:

• AI-generated content may contain inaccuracies
• You are responsible for reviewing and verifying AI output
• We do not guarantee the accuracy or suitability of AI-generated content
• AI interactions may be logged and used to improve our Services

6. Meeting Platform Terms

When using our video meeting platforms:

• You consent to meetings being recorded if notification is provided
• You are responsible for your conduct during meetings
• You may not record meetings without consent from all participants
• Meeting transcripts and summaries are provided as-is
• We reserve the right to terminate disruptive meetings

7. Consulting Services

For consulting and development services:

• Specific terms will be outlined in individual service agreements
• Work product ownership will be defined in project contracts
• Timelines and deliverables are estimates unless guaranteed in writing
• Additional fees may apply for scope changes

8. Payment Terms

When applicable:

• Payment terms are net 30 days unless otherwise specified
• Late payments may incur interest at 1.5% per month
• You are responsible for all applicable taxes
• Disputed charges must be reported within 30 days

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of using the Services. This obligation survives termination of these Terms.

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Disclaimers and Warranties

We do not warrant that:

• The Services will be uninterrupted or error-free
• Defects will be corrected immediately
• The Services are free of viruses or harmful components
• Results from using the Services will meet your requirements

12. Limitation of Liability

Our total liability shall not exceed the greater of $100 or the amount paid by you to us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless Phil Roberts from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Any content you provide to the Services

• Discontinuance of the Services
• Technical or security issues
• Non-payment of fees

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions. Any legal action shall be brought in the courts located in California.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Phil Roberts regarding the use of the Services, superseding any prior agreements.

19. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
